Preliminary:

Prendo is created and maintained by B U Bhandari Luxuries, a sole proprietor entity in Pune. This website aims at providing latest fashion (handbags) from recognized brands for usage of the general public on lease. Company hereby grants to the Client, during the subsistence of this Agreement, a restricted, non-transferable right and license to use the product as per the terms set out herein for a specified period.

These terms and conditions are binding upon Prendo and its users, including site visitors. By virtue of usage of this website, you agree to the terms and conditions set out herewith. These terms and conditions describe the modalities of operation of agreement between you and Prendo for taking the goods on lease and the liabilities associated therewith. These terms and conditions are not static and will change to incorporate new provisions and safeguards as deemed necessary by Prendo and your continued usage of the website post updating of terms and conditions will be deemed as acceptance of the modifications as stated.

In these terms and conditions, unless expressly mentioned to the contrary; Product will imply to be “handbag” and/or “bag” and service will imply “rental service”

Modus Operandi:

Overview:

Prendo will display branded handbags/bags on the website for a consumer to pick and choose from. Once the consumer decides on the bag they wish to lease/rent, they will have to choose a period for which they wish to lease the bag for. Available lease durations are 3, 7 or 15 days. After finalizing on the duration for lease, they can then proceed to make the booking. A refundable security deposit is charged on the rental, which will be returned once the bag has been inspected on return. Once the payment formality is completed, Prendo will prompt the consumer to upload certain KYC documents (address proof) to complete the transaction and dispatch the item for delivery. By virtue of completing the payment, the customer abides by the terms and conditions.

Pricing:

The total rental fee (“Rental Fee”) for the Product will be the total of the rental fee and security deposit charges for your rental of the Product. When you place your rental order for a Product, you hereby authorize Prendo to charge your credit/debit card for the Rental Fee. Prendo will charge your credit/debit card the amount of the Rental Fee immediately upon your rental order. A reservation of a Product on the Site is an order for the rental of that Product, regardless of how far in advance that Product is reserved. In addition, a deposit will be taken equivalent to the rental fee to safe guard against any damages. Fees include all central, state and local taxes.

Billing through credit card:

You are solely responsible for any and all fees charged to your credit/debit card by the issuer, bank, or financial institution including, but not limited to, overdraft, insufficient funds, and over the credit limit fees.

Conditions precedent for a valid order:

1. The customer is 18 or above years’ old
2. Only one bag can be leased per order
3. A deposit equivalent to the lease rent will have to be paid along with the lease rent at the time of booking. Thus E.g. if the lease rent for a bag is Rs.3000/- for 3 days, the customer will have to pay Rs. 6000/- at the time of booking, of which 50% will be a refundable deposit and the remaining 50%, the lease rent
4. All transactions are to be paid upfront either by usage of debit or credit card. Prendo does not offer cash on delivery for lease rent and/or deposit
5. Orders once booked cannot be cancelled unless in accordance with the Cancellation Policy as outlined in the next clause
6. PRODUCT DISPLAYED ON THIS WEBSITE IS FOR PERSONAL USE ONLY UNLESS DISCUSSED WITH THE COMPANY OTHERWISE.
7. The customer will have to provide appropriate credits to Prendo if they intend to use the said bag for commercial purpose and Prendo reserves the right to approve/reject such order.
8. The copies of KYC documents need to be legible and legitimate

Use of The Products:

You agree to treat the Products with great care. You are liable for loss, destruction or damage to the Products due to theft, mysterious disappearance, fire, major stains or any other cause, other than normal wear and tear.

Normal wear and tear encompasses minor scuffs, stains that are easily cleanable. If you return a Product that is damaged beyond normal wear and tear, then you agree that we shall charge you, and you shall pay, for the price for repairing or replacing the Product, as determined in our discretion, up to 200% Retail Value for the Product.

Shipping:

Prendo outsources shipping and delivery of products to a logistic partner. Prendo renounces the responsibility of any liability incurred due to loss in transit of any product once it leaves the premises of Prendo. All deliveries will be through Prendo’s shipping partners, which may change from time to time at our discretion. The shipping method used will be at the discretion of Prendo. Your order should reach you between 10 am and 8 pm on your booking date and will be picked up the day your lease ends. The timing of delivery and pick up will be at the discretion of the shipping partner and timings cannot be guaranteed by Prendo

Returns:

Any return intimation due to incorrect order or damaged product on receipt needs to be made within 12 hours of receiving the product must be made on either at butler@prendo.me or 020 67212175

Return Packaging:

With delivery of the Product, Prendo will provide you with a pre-addressed return mailing envelope. Please place the handbag in its dustcover back in the delivery box and seal in the envelope. The handbag must be placed in the box it was delivered in. If the Prendo box is not returned, Rs 500 will be deducted from your deposit fee (details below under “Lost Return Packaging”). Also, any damages caused to the handbag due to alternate packaging/placing the handbag directly in the mailing envelope will be notified.

Lost Return Packaging:

If you lose the Return Packaging, you will be responsible for returning the item at your own expense by the expected return date, and providing Prendo with a tracking number. Also, if you lose or fail to return the Prendo box the handbag arrived in, Rs 500 will be deducted from your deposit. If you still possess the Prendo Box, it is yours to keep, though on an “AS IS” basis without warranty of any kind.

Lost Product and Late Fees:

If you return the Product/s late, 25% will be deducted from your deposit each day the bag is late. You agree to pay such late fees, up to an amount not to exceed 200% of the Retail Value plus applicable sales tax (plus the Rental Fee). If you have not returned a Product within thirty (30) days after the return date for the Product, your late return will be considered as a non-return, either lost or kept for personal use, and you will be liable to pay 200% of the Retail Value plus applicable sales tax (plus the delayed Rental Fee)

Cancellation and Refund Policy:

You may cancel your rental order subject to the following cancellation fees and policies:

1. Cancellations will be accepted up to 10 days in advance of the delivery date for a full refund.
2. If you cancel less than ten 10 days but more than seven 7 days in advance of the delivery date, you will receive 50% of the Fee associated with the cancelled order.
3. If you cancel seven (7) or fewer days in advance of the delivery date, you will receive a 25% refund for the Rental Fee associated with the cancelled order.

Termination of Lease:

Prendo reserves the right to terminate the lease without liability to refund in the following instances: –

1. If the KYC documents are found illegitimate
2. If the payment is held
3. If Prendo has reason to believe that you intend to sabotage/flee with the product
4. You breach any of the terms and conditions outlined therewith.
5. Prendo is required to do so by law
6. You have defaulted on the Payment of consideration as agreed upon, for more than 45 (Forty-Five) days from the date when it was actually due

The abovementioned list is not exhaustive in nature and Prendo will communicate with the customer, the reason for such cancellation.

Prendo’s Liabilities:

Prendo reserves the right to cancel any order at any time prior to delivery to the customer. In the event an order is canceled, the funds authorized or charged are released by Prendo and are then subject to the rules of your financial institution, in determining the time that you will have the funds back.

If the bag is found in good condition (small scuffs are ok) the deposit will be returned within 10 business working days. The deposit is taken to compensate against any heavy damage that may occur to the bag. such as stains, including without limitation to any of the following: –

Food, drinks, makeup, pen, water, jeans oil, makeup and alcohol.

The deposit may or may not cover the entirety of the damage. The same will be notified to the customer once the bag has been examined.

The following are the limited warranties Prendo provides in connection with Product rentals. Prendo’s liability to you for failure to comply with any of these warranties is limited to communicating the same within 24 hours of receiving the order:

• Correct Products: We will deliver the Products you ordered, including the specified size, color and design, on or before the delivery date for which you ordered them, except in the rare event that the Product is damaged beyond repair or is otherwise unavailable. In such event, we will use reasonable efforts to notify you that the Product is unavailable. If we are able to reach you, you will be entitled to choose any available rental Product to replace the unavailable Product of same or lesser value. If we are unable to reach you, you acknowledge and agree that we may send you a replacement product of the same or lesser value. Products may appear different in color and style than as displayed on the Site
• Clean and Ready to Use: The Products will be professionally cleaned and delivered ready to use. Prendo cleans and inspects each Product with the utmost care, but use of the Product is at your own risk and Prendo shall not be held liable for any health-related complaints associated with any Product.
• Sizing Returns: We provide several images of a product standalone, and with a model. Along with this we do provide the size of the product in the product description. Due to the amount of information on the website, we will be unable to provide a replacement due to mistakes made in assuming the size or color of a product.

Usage of Website:

Content displayed on the website is for viewing and the same must not be republished, rented, duplicated, copied, edited or otherwise replicated in any manner without the explicit consent of Prendo for the same.

Replicating the business model as outlined on the website or the products and pricing modalities will also be presumed to be misuse of the website content.

You must not use this website in a way that causes any damage or upload content that is damaging or malicious. Usage of this website in any other way that intended by the propagators of this website is strictly prohibited. Prendo reserves the right to initiate action on misuse of this website in any way.

Usage or membership of the website is available for individuals above the age of 18 years and for users below 18 years, adult supervision is required.

Intellectual property rights:

The company owns all the intellectual property rights to and into this website, including but not limited to copyrights, patents, utility models, hyperlinks, urls, texts, graphics, icons, goodwill, trademarks and the like. Any incident to otherwise, where explicitly mentioned or display of intellectual property of a third party will be excluded from the purview of this condition.

You must not use, reproduce or distribute any part or whole of the website content protected herein above without the prior permission of the company.

Third Party Uploads:

The Prendo website may contain links to third party websites that are not owned or controlled by Prendo and the latter assumes no responsibility for the content, privacy policies, or practices of any third party websites. In addition, Prendo will not and cannot censor or edit the content of any third party site.

Cyber Security:

Prendo will take utmost care to ensure security of the website. That being said, it does not assume responsibility of data loss due to third party unwarranted interception which all data is potentially susceptible to.

Company will issue instructions from time to time to the users to ensure security of the website. You need to abide by these instructions at all times. Prendo retains the right to action in case of a breach to the above is noticed and can also cancel your registration to that effect.

Precautionary measures:

To ensure website security, the company may:

1. Get the user to re-authenticate himself/herself from time to time
2. Terminate browser session due to inactivity for prolonged periods between browser and website.
3. Generate unique log on codes to be sent on the user’s email or mobile number for authentication.

Prohibitions:

Prendo prohibits cyber stalking; illegitimate download of content; posting of any content that is racist, promotes bigotry, hatred or physical harm against any group or individual. Pornography is prohibited.

Indemnity:

By agreeing to these terms and conditions you indemnify Prendo from loss or damage arising from the following: –

1. usage or inability to use the services
2. unauthorized access to or transmission of your data
3. any other matter in relation to the services
4. for any information, software, products, services and related graphics obtained through the Website
5. responsibility arising out of the use of the Website, whether based on contract, tort, negligence, strict liability or otherwise
6. non-availability of the Website during periodic maintenance operations or any unplanned suspension of access to the website that may occur due to technical reasons or for any reason beyond the Website’s control

Severability

If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.  If any provision of this website disclaimer is, or is found to be, unenforceable under applicable law, then the said provision will not affect the enforceability of the other provisions of this website disclaimer.

Limitations of liability

Prendo will not be liable to you (whether under the law of contact, the law of torts or otherwise) in relation to the contents of, or use of, or otherwise in connection with, this website (to the extent that the website is provided free-of-charge), for any direct loss; for any indirect, special or consequential loss; or for any business losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data. These limitations of liability apply even if Prendo has been expressly advised of the potential loss.

Entire agreement

These terms and conditions constitute the entire agreement between you and Prendo in relation to your use of this website, and supersede all previous agreements in respect of your use of this website. Nothing said herewith will be applicable to the terms and conditions set out in the rental agreement for consumers who agree to lease/rent the bag/s.

Law and jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of India and any dispute shall exclusively be subject to the jurisdiction of the appropriate Courts situated at Pune, India

Ancillary

The login credentials for the dashboard need to be safeguarded by you as the same will secure the privacy of your usage of the dashboard.

Prendo also includes blogs on latest fashion, tabs for discussion and feedback/reviews. Consumers can express their opinions in a non-derogatory/defamatory form and Prendo reserves the right to decide on whether or not to display the contents of the feedback on the website.

Disclaimer:

PRENDO PROVIDES GOODS ON “AS IS” BASIS AND DISCLAIMS ALL WARRANTIES AND INDEMNITIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER WARRANTY ARISING FROM THE USE OF THE SAID GOODS.
